DAKISS Media is a digital marketing and AI automation agency based in Baltimore, Maryland. We provide AI receptionist services, digital marketing, and related services to small businesses. These Terms govern your use of our website and any service engagement with us.

2. Use of the Website

3. Services

3.1 Service Description

DAKISS Media provides AI receptionist services, digital marketing services, and AI automation consulting. Specific services, deliverables, pricing, and timelines are governed by a separate Client Service Agreement entered into with each client. These Terms apply to general use of the Site and supplement (but do not replace) any Client Service Agreement.

3.2 No Professional Advice

Content on the Site is provided for general informational and marketing purposes only. Nothing on the Site constitutes legal, financial, medical, or other professional advice. You should consult a qualified professional before making business decisions based on information found on this Site.

3.3 Service Availability

We reserve the right to modify, suspend, or discontinue any service or feature of the Site at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3.4 Performance Guarantee

DAKISS Media's performance guarantee (5 booked jobs in 30 days or setup fee refund) applies exclusively to clients who have executed a valid Client Service Agreement and fulfilled all client obligations as defined therein. The guarantee terms are governed by the Client Service Agreement and not these Terms.

4. SMS Communications

By providing your phone number and checking the consent box, you expressly agree to receive SMS text messages from DAKISS Media for:

• Transactional messages: Appointment confirmations, reminders, and service updates
• Marketing messages: Promotional offers and updates (requires separate opt-in consent)

You can opt out at any time by replying STOP to any message. Reply HELP for assistance. Message and data rates may apply. Message frequency varies based on your interactions with our services.

Your SMS consent is not shared with third parties for their marketing purposes. SMS consent is not a condition of purchase.

5. Intellectual Property

5.1 DAKISS Media Content

All content on this Site — including text, graphics, logos, images, audio, video, software, and the overall design and compilation ("Site Content") — is the property of DAKISS Media or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal, non-commercial purposes. This license does not include the right to:

• Modify, copy, distribute, or create derivative works from Site Content
• Reproduce Site Content for commercial purposes

DAKISS Media does not warrant that: (a) the Site will be uninterrupted or error-free; (b) any defects will be corrected; (c) the Site or servers are free of viruses or other harmful components; or (d) the results of using the Site will meet your requirements.

The AI receptionist service is an automated system. While we work to ensure high quality and performance, we cannot guarantee that the AI will handle every call perfectly in every circumstance. Results described on the Site are illustrative examples based on typical client experiences and are not guarantees of your specific results.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAKISS MEDIA, ITS OWNER, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DAKISS Media's total cumulative liability to you for any and all claims arising from or related to the Site or services shall not exceed the greater of: (a) $100 USD; or (b) the total fees paid by you to DAKISS Media in the 30-day period preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages, so the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless DAKISS Media and its owner, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Site or services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit through the Site.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. You consent to personal jurisdiction in the state and federal courts located in Baltimore, Maryland.

10.2 Informal Resolution

Before initiating any formal legal action, you agree to first contact DAKISS Media at dakissaga@protonmail.com and attempt to resolve the dispute informally. We will attempt to resolve the issue within 30 days of receiving written notice.

10.3 Waiver of Class Actions

All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the Site with a revised "Last Updated" date. For material changes, we may provide additional notice via email or a prominent notice on the Site. Your continued use of the Site after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, please discontinue use of the Site.

12. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any applicable Client Service Agreement, constitute the entire agreement between you and DAKISS Media regarding use of the Site and services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

No Agency: Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and DAKISS Media.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. DAKISS Media may assign these Terms without restriction.
